Welcome to Zura. These Terms of Service ("Terms") govern your access to and use of our WhatsApp automation platform and related services. By using Zura, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By creating an account, accessing, or using Zura's services, you agree to comply with and be legally bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with these Terms, you must not use our services.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the platform. Your continued use of our services after such changes constitutes acceptance of the updated Terms.

2. Description of Service

Zura provides a WhatsApp-based e-commerce automation platform that enables businesses to:

  • Automate customer conversations and order processing via WhatsApp
  • Manage product catalogs and inventory
  • Process payments through integrated payment gateways
  • Generate invoices and track orders
  • Analyze business performance through analytics dashboards
  • Create and manage marketing campaigns

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice.

3. Account Registration and Security

3.1 Account Creation

To use Zura, you must create an account by providing accurate and complete information. You must be at least 18 years old and have the legal capacity to enter into binding contracts.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

3.3 Account Suspension

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.

4. Subscription Plans and Payments

4.1 Subscription Tiers

Zura offers various subscription plans with different features and pricing. Current plans and pricing are available on our website and may be changed at any time with notice.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method for all applicable fees
  • Failure to pay may result in service suspension or termination

4.3 Free Trial

We may offer a free trial period for new users. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or unused features.

5. Acceptable Use Policy

You agree not to:

  • Use our services for any illegal or unauthorized purpose
  • Violate any laws, including WhatsApp's Terms of Service and Commerce Policy
  • Send spam, unsolicited messages, or engage in abusive messaging practices
  • Sell prohibited items (weapons, drugs, counterfeit goods, etc.)
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt our services or servers
  • Attempt to gain unauthorized access to our systems
  • Use our services to transmit viruses, malware, or harmful code
  • Scrape, harvest, or collect user data without permission
  • Resell or redistribute our services without authorization

Violation of this policy may result in immediate account termination and legal action.

6. WhatsApp Business API Compliance

As a WhatsApp Business Solution Provider, you must comply with:

  • WhatsApp Business Policy and Commerce Policy
  • Meta's Business Terms and Platform Terms
  • All applicable messaging and data protection regulations

You are responsible for obtaining necessary consents from your customers before messaging them. Failure to comply may result in WhatsApp account restrictions or bans, for which Zura is not liable.

7. Intellectual Property Rights

7.1 Our IP

All content, features, and functionality of Zura, including but not limited to text, graphics, logos, software, and trademarks, are owned by Zura Technologies Limited and protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of all content you upload to Zura (products, images, descriptions, etc.). By using our services, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display your content solely for the purpose of providing our services.

7.3 Feedback

Any feedback, suggestions, or ideas you provide to us become our property, and we may use them without compensation or attribution.

8. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using Zura, you consent to our data practices as described in the Privacy Policy.

You are responsible for ensuring that your use of our services complies with applicable data protection laws, including obtaining necessary consents from your customers.

9. Third-Party Services

Zura integrates with third-party services including:

  • WhatsApp Business API (Meta Platforms)
  • Payment processors (Paystack, Flutterwave, Stripe)
  • Cloud hosting providers
  • Analytics and monitoring tools

Your use of these third-party services is subject to their respective terms and policies. We are not responsible for the actions, content, or services of third parties.

10. Disclaimers and Limitations of Liability

10.1 Service Availability

While we strive for 99.9% uptime, our services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free, or secure service.

10.2 Limitation of Liability

To the maximum extent permitted by law, Zura shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or data loss
  • Actions or inactions of third-party service providers
  • WhatsApp account restrictions or bans

Our total liability to you for all claims shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Zura, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or business practices

12. Termination

Either party may terminate this agreement at any time:

  • You may cancel your account through your account settings
  • We may suspend or terminate your account for violations of these Terms
  • We may terminate the service entirely with 30 days' notice

Upon termination, your right to use our services ceases immediately. We may delete your data after a reasonable period, subject to our data retention policies and legal obligations.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising from these Terms or your use of our services shall be resolved through:

  1. Good faith negotiations between the parties
  2. If unresolved, mediation in Lagos, Nigeria
  3. If mediation fails, arbitration under the Arbitration and Conciliation Act

14. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Zura.
  • Severability: If any provision is found invalid, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our consent. We may assign them freely.
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our control.
